Ms. Lee’s practice focuses on formation, licensing, venture capital and debt financings, and general corporate counseling of emerging technology and internet companies. She also has experience in public offerings, SEC reporting and mergers & acquisitions.

Ms. Lee previously worked as a corporate associate in the international corporate group at Baker & McKenzie and in the emerging companies group at Orrick, Herrington & Sutcliffe.

Ms. Lee has a J.D. from the University of California, Berkeley School of Law and a Bachelor of Laws from the University of Cambridge, UK. Ms. Lee is fluent in French and speaks Cantonese.

Representative Transactions:

• Represented Lightspeed Venture Partners, True Ventures, Draper Fisher Jurvetson, Doll Capital Management, Steamboat Ventures and other venture firms
     on their investments.
• Assisted founders of technology companies on issues ranging from initial capital structuring, founder stock issuances, option plans, employment matters.
• Helped obtain angel financings from groups such as The Angels Forum.
• Acquisition of Oxford Semiconductor, Inc. by PLX Technology, Inc. 
• Assisted ESS Technology in its sale to the Imperium Master Fund and going private.
• Spin-off of certain IP assets into separate licensing-holding company.
• Common Stock offerings by VirnetX Holding Company (secure communications), Energy Recovery, Inc. (desalination) and a REIT.
