Mr. Rasmussen is an experienced corporate attorney with almost 35 years in the telecommunications and technology industry. He is an expert in telecommunications, transactions, sales, marketing, incorporations, distribution and supply agreements, financings, stock purchase agreements and regulatory laws. He specializes in start-up and early stage companies but also provides advice and counsel for later stage companies. He is also currently the part-time General Counsel and Secretary for Xalted Networks, Inc., Quantros, Inc., Klaus Technologies, Inc., Cummins West, Inc., and the Woodside Group, Pte., Ltd. He provides advice and counsel on all legal matters to the executives of such companies.
From June 2002 to January 2004, Mr. Rasmussen was the Vice President-Law, General Counsel and Assistant Secretary for GoBeam, Inc. From January 2000 to March 2003, he was the General Counsel and VP-Law of Pulsent Corporation, a video compression company. Before that, he spent 26 years with Pacific Telesis Group and SBC. From January 1998 to January 2000, he was the General Counsel, Vice President-Law and Regulatory and Secretary for Southwestern Bell Communications (SBC) Services, Inc., the long distance subsidiary of SBC. Prior to that, he was the General Counsel, Vice President and Secretary for Pacific Bell Network Integration, the data equipment and networking subsidiary of the Pacific Telesis Group. He was the chief counsel for Pacific Telesis Group’s broadband project in 1995 and the chief divestiture lawyer for Pacific Bell during the AT&T breakup in 1983. Chris spent 27 years as an in-house counsel for SBC/PTG.
Mr. Rasmussen has legal and business expertise in strategic alliances, partnerships, joint ventures, regulations, contracting, marketing and sales for the telecommunications industry. His practice areas include (a) corporate formations (corporations, LLCs, strategic alliances, partnerships, founders agreements, non-disclosure agreements, proprietary agreements), (b) general business (capital structure, sales, marketing, strategic decisions, employment agreements, offer letters, personnel policies, restricted stock purchase agreements), and (c) transactions (sales agreements, licensing agreements, distribution agreements, beta agreements).
From 1968 to 1972, Mr. Rasmussen was a nuclear submarine officer in the US Navy. He graduated with a BA in political science from Stanford and a JD with honors from Santa Clara University. He is active in business and civic affairs in San Jose. He is married and has two adult daughters. He is an avid golfer and a member of a number of bar associations and civic organizations
