Advising angel, private equity, and venture capital investors on financing transactions; Advising client companies in the technology sector on issues in non-disclosure agreements in relation to the company’s customers, partners, vendors, and staff; Advising clients in relation to compliance by target companies with their technology collaboration agreements, technology license agreements, and software as service agreements in the regular course of their business, Advising clients on service agreements such as Research and Development Service Agreement, Software Development Service Agreement through which the client entities would obtain services
of third party service providers; Advising client companies on the transfer and assignment of intellectual property by third parties including independent contractors, consultants, advisors, and its employees in the regular course of business of the client company; Preparing, reviewed and updated Master Service Agreements between client companies and their overseas subsidiaries through which the subsidiaries provide services
to the holding entity; Advising companies on securities laws (in relation to stock purchase agreements, stock transfer agreements, and stock options issuances), corporation law (in relation to incorporating corporations and limited liability companies), and general legal contract laws (in relation to reviewing contracts such as employment agreements, consultant agreements, advisor agreements, indemnification agreements, and board and stockholders’ resolutions).
