Draft and negotiate a range of commercial, intellectual property and technology transaction agreements such as Software as a Service (SAAS) Agreements, Master Services Agreements (MSA’s), Intellectual Property Rights Transfer Agreements, IP Licensing Agreements, End-User License Agreements, Partnership Agreements, Reseller-Distributor Agreements, Software Trial/Pilot Agreements and others for U.S. and Indian clients. Customize agreements to comply with U.S., Indian and international laws (commercial, IP, technology and employment) and client’s international business requirements. Negotiate agreements with counterparty legal teams to secure favorable terms for clients. Review and mark up commercial agreements to address legal issues and protect client interests. Collaborate with client sales and executive teams to align legal negotiations with client business objectives. Update and revise agreements based on negotiation outcomes to finalize contracts. Draft employment-related documents for clients – Offer Letters, Executive Employment Agreements, Confidentiality and IP Agreements, Employee Handbooks in compliance with US and international labor laws. Advise and Counsel clients on global employment law matters, including classification, terminations, and employee mobility. Draft Privacy Policies, Terms of Use and Terms of Service for clients in the U.S., India, and elsewhere in the world in compliance with applicable international privacy laws and regulations, and advise and counsel clients on such compliance. Conducting due diligence, draft transactional and ancillary documents, and facilitate closure of transactions. Conduct legal research and draft memorandums on emerging legal issues, particularly in global labor and employment law.
License Requirement: Must be an active member of the State Bar of California.
Minimum Education: LLM. in law
Minimum Experience: Eight (8) months. Eight (8) months of experience must include experience in legal research and drafting of memorandums, advising and counseling clients. Experience gained before, during, or after LLM. degree is accepted.

Pay Range: $250,000 – $260,000/year
